1. Definitions

In these Terms of Service, the following definitions apply:

Tradelapp
The software application developed and operated by Tradelapp located at Thomas Morelaan 16, 2135WC Hoofddorp, The Netherlands, registered with the Dutch Chamber of Commerce under number 86416456.

User
Any natural person or legal entity that creates an account and/or uses Tradelapp, whether acting as a consumer or in the course of business.

Agreement
The agreement between Tradelapp and the User regarding the use of the Service.

Service
The complete set of functionalities and services offered via the Tradelapp platform.

AI Tokens
Usage units required for certain AI-powered features within the Service. The number of available tokens depends on the selected subscription or package.

Content
All data, files, text, financial records, images, reports, analytics, AI outputs and other materials uploaded, generated or stored by the User within the Service.

2. Applicability

These Terms apply to all use of Tradelapp, whether paid or free, including trial periods and promotional access.

The Terms are made available to the User before or upon conclusion of the Agreement and may be stored and consulted electronically.

Deviations from these Terms are only valid if agreed in writing.

3. Formation of the Agreement

The Agreement is concluded once the User registers and accepts these Terms.

The User must be at least 18 years old or have permission from a legal guardian.

Tradelapp reserves the right to refuse registrations or terminate accounts at its reasonable discretion.

4. Use of the Service

Tradelapp grants the User a personal, non-exclusive, non-transferable and revocable right to use the Service.

The User may not:

  • copy, resell, sublicense or commercially exploit the Service;

  • use the Service for unlawful purposes or in violation of applicable law;

  • attempt to reverse engineer, manipulate, scrape, bypass security measures or hack the Service;

  • interfere with the availability, integrity or security of the platform.

The User is solely responsible for the accuracy, legality and completeness of all Content submitted.

The User is responsible for maintaining the confidentiality and security of login credentials and for all activities performed under their account. Tradelapp is not liable for damages resulting from unauthorized access caused by the User’s failure to adequately protect credentials.

Tradelapp may collect anonymized usage data to improve the Service in compliance with applicable privacy legislation.

Tradelapp reserves the right to impose reasonable usage limits, throttling or restrictions where usage exceeds fair use, causes disproportionate load on infrastructure, threatens platform stability, or indicates automated abuse, scraping or misuse of the Service. In such cases, Tradelapp may temporarily or permanently restrict access without prior notice where necessary to protect the platform.

5. Software in Development

Tradelapp is an actively developed software product. Features may be added, modified or removed.

Tradelapp strives for reliable availability but does not guarantee uninterrupted or error-free operation.

Unless explicitly agreed in writing, no service level agreement (SLA), uptime guarantee or minimum availability commitment applies to the Service.

Maintenance, updates or temporary outages may occur.

If material functionality is permanently reduced in a manner that significantly limits normal use, the User may terminate the Agreement and receive a proportional refund of prepaid fees.

6. Prices and Payments

Paid subscriptions are charged according to the pricing published on the website or agreed in writing. Consumer prices include VAT unless stated otherwise.

Payments are due in advance unless agreed otherwise.

If payment fails or remains overdue, Tradelapp may suspend or restrict access to the Service until payment is fulfilled.

If the User qualifies as a consumer under EU law, statutory withdrawal rights may apply. Where the Service is made available immediately after purchase, the User may be required to expressly consent to the immediate performance of the Service and acknowledge that the statutory right of withdrawal may lapse once performance has begun, in accordance with applicable law.

7. Duration and Termination

Agreements are concluded for the term selected by the User.

Trial or free access ends automatically unless converted to a paid subscription.

Unless agreed otherwise, subscriptions do not renew automatically without explicit User consent.

The User may terminate the Agreement at any time with one month’s notice.

Tradelapp may terminate the Agreement immediately in the event of serious breach or unlawful use.

8. Discontinuation of the Service

Tradelapp may discontinue the Service in whole or in part if continuation is no longer reasonably feasible for technical, financial or commercial reasons.

Users will be informed in advance where reasonably possible.

For paid subscriptions, a proportional refund will be provided unless discontinuation results from force majeure or legal obligations.

No additional compensation shall be owed unless required by mandatory law.

9. Support and Communication

Tradelapp provides support on a reasonable efforts basis via the communication channels indicated on the website or within the Service. Response times are not guaranteed unless agreed otherwise in writing.

Official communications relating to the Service, the Agreement or legal matters may be provided electronically via email or in-app notifications.

10. Intellectual Property

All intellectual property rights relating to the Service belong to Tradelapp or its licensors.

No ownership rights are transferred to the User.

11. AI Tokens and AI Functionality

AI features operate on automated systems and may generate incorrect, incomplete or misleading outputs.

AI output is provided solely for informational purposes and must not be relied upon as professional, financial, investment, tax or legal advice.

The User remains fully responsible for verifying AI-generated information before relying on it.

Token limits apply per subscription. Once exhausted, access to AI features may be restricted unless additional tokens are purchased.

Tradelapp may reasonably modify the token system. Adverse changes will be communicated at least 30 days in advance.

12. Financial, Trading and Bookkeeping Disclaimer

Tradelapp provides software tools for recording, analyzing and managing trading activity and financial data. Tradelapp does not provide investment advice, trading recommendations, tax advice, accounting services or legal advice.

All analytics, reports, calculations, projections and AI-generated outputs are provided solely for informational purposes and do not replace professional advice from qualified experts.

Trading in financial instruments involves significant risk and may result in financial loss. Past performance does not guarantee future results.

The User remains fully responsible for:

  • all trading decisions and financial outcomes;

  • the accuracy and completeness of all data entered or imported;

  • verification of calculations, reports and exports;

  • tax filings, accounting obligations and regulatory compliance.

Tradelapp does not guarantee that calculations or reports are error-free.

13. Data Responsibility, Imports and Exports

The User is responsible for maintaining independent backups of critical data.

Imported data may contain errors or omissions. The User must verify imported data.

While reasonable technical safeguards are applied, data loss or corruption cannot be fully excluded.

Export functionality is provided for convenience only and does not guarantee compliance with accounting standards, tax regulations, financial reporting rules or other legal requirements. The User must independently verify all exported data before use.

Upon termination of the Agreement, User data may be retained for a limited period for backup, recovery, audit or legal compliance purposes. After this retention period, data may be permanently deleted. The User remains responsible for exporting any required data prior to termination.

14. User Content and Community

The User retains ownership of all Content uploaded.

By uploading Content, the User grants Tradelapp a non-exclusive, worldwide, royalty-free license to host, process, display and technically modify such Content solely for operating the Service.

The User warrants that Content does not infringe third-party rights or applicable laws.

Tradelapp may remove Content, restrict visibility or suspend accounts if violations occur.

Publicly shared Content may be visible to other users or the public depending on User settings.

15. Liability

Tradelapp is liable for damages caused by attributable failure in accordance with Dutch mandatory law.

Liability for indirect damages, including loss of profit, loss of data, business interruption or consequential damage, is excluded to the extent permitted by law.

Direct damages are limited to the amount paid by the User in the preceding twelve months, unless the damage results from intent, gross negligence, bodily injury or mandatory statutory liability.

16. Force Majeure

Tradelapp is not liable for failure to perform due to circumstances beyond its reasonable control, including network failures, infrastructure outages, supplier failures or governmental measures.

17. Third-Party Services

The Service may rely in part on third-party infrastructure, software, APIs and service providers, including but not limited to hosting providers, cloud infrastructure, analytics services, payment processors and AI providers.

Tradelapp is not responsible for interruptions, errors, data loss, security incidents, changes in functionality or availability caused by third-party services beyond its reasonable control.

Where third-party terms apply, the User agrees to comply with such terms.

18. Personal Data

Personal data is processed in accordance with GDPR and the Privacy Policy available at www.tradelapp.com/privacy.

Data may be shared with processors where necessary to provide the Service or comply with legal obligations.

19. Governing Law and Disputes

Dutch law applies to these Terms and all Agreements.

Consumers residing in other EU countries retain mandatory consumer protections.

Disputes shall preferably be resolved amicably before court proceedings.

20. Amendments

Tradelapp may amend these Terms for legal, technical or business reasons.

Material adverse changes will be communicated at least 30 days in advance.

If the User does not accept such changes, the Agreement may be terminated free of charge prior to the effective date.
